This course has been designed by a commercial solicitor with extensive experience of training lawyers and businesses. The course demystifies legal concepts and terminology and explains fundamental and essential aspects of contract law. It will provide an understanding of how to read and draft clauses and how to manage risk from the pre-contract stage to termination. The course will then focus on key clauses in a commercial agreement, identifying the commercial importance of such clauses and clearly explaining the underlying law for each clause.

The course will be in two parts. The first part will deal with risk management during the pre-contract stage, fundamental aspects of contract law, and how to read and draft contract clauses. The second part will focus on key clauses in a commercial contract.
The first part is a self-contained course, and it is possible to attend only this part.

Learning outcomes:

Day One (3 hours)

The pre-contract stage: essential contract law, managing risk, and reading and drafting contract clauses

• Understand fundamental and essential aspects of practical contract law
• Identify risk issues relating to the pre-contract stage and how to mitigate any such risk
• Understand how a court will interpret a contract
• Learn how to read and draft contract clauses



Day Two & Three (6 hours)

Identifying, understanding, and drafting key clauses in a commercial contract

• Understand the structure of a commercial contract
• Identify key clauses and the most-negotiated clauses
• Recognise the commercial purpose and importance of each clause
• Understand the underlying law relating to each clause

CPD hours

ICAEW’s CPD Regulations are changing. From 1 November 2023, members and other professionals regulated by ICAEW will need to complete a minimum number of hours’ CPD per year, some of which will need to be verifiable. Attending events like this could contribute to nine hours of verifiable CPD, so long as you can demonstrate that the content is relevant to your role.

I think the virtual training format using Zoom, and the survey features, and break out rooms, really works great. I had no problems engaging with the facilitator and felt he listened to what we said, and kept the pace of the content moving steadily.

Michael Twomey

Michael Twomey qualified in 1992 and ​is a practising UK commercial and corporate law solicitor specialising in commercial and corporate law.

Michael is widely recognised as a leading course designer and presenter with 25 years’ experience in legal education and professional training.

His clients include leading UK and international law firms, Government departments, multi-national companies, educational and training organisations and professional bodies such as the Law Society of England and Wales, ICAEW and the Solicitors Regulation Authority.

He began his legal career as a corporate and commercial lawyer at Slaughter and May before joining the University of Law, London, where he became Head of Acquisitions and editor of Acquisitions and Group Structures (Jordans).

​Michael has acted as a consultant for a number of universities and regularly publishes articles on contract, commercial and corporate law. In addition to designing and delivering legal training courses for some of the largest international law firms, he also has extensive experience in providing seminars on international contract law to companies and other organisations in many countries.
