The impact of differing rights between share classes is having more of an influence on value than ever in today's volatile market. This has been a key area of focus in 2023 and 2024, particularly for venture capital investments.

The pandemic saw many early-stage businesses resorting to emergency funding with liquidation preferences of 2x or higher (either via convertible loan notes or straight equity).

This, in conjunction with the current market environment of high volatility, choppy IPO waters and more uncertainty around routes to exit has meant consideration of economic rights of shares is fundamental to robust valuation analysis.

About the speakers

Katrina Hallpike, Valuation Partner, PwC
Katrina specialises in the valuation of early-stage businesses and portfolios. She supports clients buyside and sell-side on transactions as well as performing valuations for financial reporting, tax, restructuring or disputes. Kat also provides advice on valuation process and governance to clients, particularly in the asset management sector.

Veronika Kontra, Valuations Director, PwC
Veronika is a Director in PwC’s Valuations practice (a team of over 175 valuation specialists) and specialises in providing valuation advice and valuation opinions to alternative asset managers and corporates, with a focus on Healthcare and Life Sciences and the valuation of early-stage businesses. Her clients range from venture capital and private equity firms to multinational pharmaceutical and medtech companies, as well as early-stage life sciences businesses.

CPD hours

ICAEW's revised Continuing Professional Development (CPD) Regulations bring in new CPD requirements. This includes a minimum number of hours and an ethics requirement.
