Understanding why procedures surrounding share capital are in place under the Companies Act 2006 (and what these legal procedures consist of) can be a challenge, particularly where share class rights are amended. This course will examine the key issues surrounding share classes, including appreciating the issues connected with share class rights, including how to create a new class of shares (and how to alter existing share capital by consolidation, subdivision, redenomination and redesignation). It will also introduce a discussion surrounding reduction of capital and analyse the procedures involved in a buyback of share capital (both out of distributable profits and capital).

CONTENT

· Analysis of typical classes of shares and issues surrounding the creation of share classes

· A step-by-step guide to issuing shares for companies incorporated under CA 2006 (and companies that predate this) (including authorised share capital, authority to allot, disapplication of pre-emption and creation of a new class of shares)

· Subdivision, consolidation, re-designation and conversion (including procedural requirements)

· Reduction of capital – understanding why this may be conducted

· The reasons for and procedure for buybacks out of profits and out of capital

Please note that this course does not cover the detailed tax or accounting aspects of share capital and is a legal analysis only.

TARGET AUDIENCE

This course will be relevant for anyone working with private limited companies and/or their directors and/or shareholders in relation to share capital who would like to appreciate the reasoning and requirement for the legal procedures involved with issuing and alternating share capital.

Jackie Sheldon FHEA, PGCPE, CMBE

Jackie qualified and practised as a corporate solicitor in a large City firm before moving to the North-West where she worked at two commercial firms including Hammonds where she specialised in advising on corporate acquisitions.

Jackie has been teaching for over 18 years, is a Fellow of the Higher Education Academy, has a Post Graduate Certificate in Professional Education and is a Certified Management and Business Educator. Jackie also co-authored the textbook: 'Advising Effectively on the Employment Aspects of a Corporate Transaction - A Practical Guide for Junior Lawyers', Law Brief Publishing, 2021.

Outside of teaching company law topics, Jackie is a third Dan blackbelt and runs a martial arts academy. In her spare time, she can either be found training or coaching on the mats, hanging out with her husband and sons and walking around the Peak District with her (daft/giant) dog.

If the Society cancels the event, our liability in the event of cancellation is limited to a full refund of the fee.

If we receive your booking less than 7 days before the course, you may not get a copy of the notes on the day.
