In this webinar designed for accountants working in the charity sector as finance leaders, advisers, and trustees, we’ll walk through the real-world considerations behind charity trading structures.

Explore the key factors that determine when charities should consider establishing a trading subsidiary and considerations involved when a trading subsidiary is not needed, including options for restructuring or winding up. Learn about the essential tax, governance, and financial reporting implications to support confident, compliance decision-making for your charity’s group structure.

RSM UK’s Tax Director Andrie Kazamias will lead the session with scene-setting and direct tax insights. Paul Foster, Associate Director at RSM UK Consulting, will then cover financial reporting and governance considerations, helping you understand how these structures impact accounts, oversight, and trustee responsibilities.

About the speakers

Paul Foster, Associate Director, RSM UK Consulting
Paul works with charities and education clients to strengthen governance, ensure regulatory compliance, and navigate the sector’s complex financial reporting requirements. After spending 20 years in RSM’s not-for-profit audit team, he moved into their Accounting and Financial Reporting team. Paul specialises in the not-for-profit sectors and has in depth knowledge of the accounting requirements of UK GAAP, Charity SORP, FE & HE SORP and both the College and Academies Accounts Directions. Paul helps charity and education clients with a multitude of requirements including statutory financial reporting, advising on the accounting implications of non-routine transactions and assistance for finance departments looking to upskill their team.

Andrie Kazamias, Tax Director, RSM
Andrie is both a chartered accountant and a Chartered Tax Adviser, specialising in corporation tax with over 25 years of experience. At RSM, Andrie serves as the National Lead for charities tax and is part of the leadership team for the charities sector, contributing to strategic direction, target setting, and key initiatives. While Andrie’s primary focus lies in the public and third sector, she also manages a portfolio of commercial clients and property groups. This blend of experience allows her to bring a commercial perspective to her work with not-for-profit organisations. She has extensive expertise in advising clients on all aspects of corporate tax, including tax enquiry management, gift aid reviews, tax-efficient structuring, income stream analysis to identify and mitigate tax risks, and transactional support.

Chair: Kristina Kopic FCA DChA, Head of Charity and Voluntary Sector, ICAEW
Kristina is a chartered accountant who has worked in and for the Not-for-Profit sector for over 15 years. Kristina trained at charity specialists Sayer Vincent and subsequently worked in finance roles at the Royal College of Nursing, Imperial College London and the Sainsbury Family Charitable Trusts. Kristina holds charity-specific qualifications in accountancy, law and governance and a Master in Voluntary Sector Management from Bayes Business School. In her spare time, she is a member of WWT’s Finance, Audit and Risk Committee.
